These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy.

1. Service

Exstats is a browser extension analytics platform that crawls public data from browser add-on and extension stores (including Chrome Web Store, Microsoft Edge Add-ons, and Firefox Add-ons). The Service provides unified analytics, performance charts, reviews, keyword ranking tracking, customizable alerts, market research tools, and store-level trend dashboards. We may offer dashboards, exports, notifications, and integrations.

2. Eligibility and Accounts

• You must be at least 13 years old to use the Service. If you are under 16 and located in the European Economic Area (EEA), you may only use the Service with verifiable parental or guardian consent as required by applicable law.
• You are responsible for all activity under your account and for keeping credentials secure.
• Provide accurate, current, and complete information and keep it updated.
• We may refuse, suspend, or terminate accounts to protect the Service or for violations of these Terms.

3. Plans, Billing, and Cancellations

• Some features require a paid subscription. Subscriptions auto-renew unless canceled.
• Cancel at any time to stop future renewals. Access continues until the end of the then-current term.
• Fees are non-refundable except where required by law or we state otherwise in writing.
• We process payments via Stripe. We do not store full card numbers.
• Taxes and duties may apply and are your responsibility where required.
• Free plans may be subject to usage limits (such as the number of tracked products, data history depth, or API calls). We may modify or discontinue free plan features at any time with reasonable notice.
• We may change prices or plan features with at least 30 days' prior notice, effective on the next billing cycle after the notice period.

4. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You agree not to:

• Use the Service in violation of applicable laws or third-party terms.
• Scrape, crawl, or harvest the Service other than through documented features or APIs we provide.
• Bypass or interfere with rate limits, access controls, or security measures.
• Reverse engineer or attempt to derive source code except to the extent allowed by law.
• Resell, sublicense, or publicly redistribute the Service or datasets without our written consent.
• Upload or transmit malicious code, or interfere with Service operation.

5. Data Sources and Your Responsibilities

• The Service analyzes publicly available information and third-party content. We are not affiliated with browser stores or the authors of listed extensions.
• You are responsible for how you use insights and for complying with any applicable store policies, robots rules, and third-party terms.
• We do not guarantee completeness, accuracy, timeliness, or availability of third-party data. Data may be estimates, modeled, aggregated, or derived.
• You must evaluate and validate results before relying on them for business, financial, legal, or compliance decisions. The Service is for informational purposes only and does not constitute advice.
• Third parties may change, remove, restrict, or block access to their data at any time. We are not liable for resulting changes, errors, or interruptions.

6. Your Content

If you upload or submit content (such as product names, labels, or notes), you grant us a non-exclusive license to host and display that content solely to provide the Service to you. You represent that you have all rights needed and that your content does not infringe others' rights. We do not claim ownership of your content.

7. Intellectual Property

The Service, including software, interfaces, designs, logos, and compilations, is owned by Exstats or its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

8. Third-Party Services

The Service may reference or integrate third-party services. Their terms and privacy policies govern your use of those services. We are not responsible for third-party content or practices.

9. Beta and Experimental Features

We may offer beta features that are provided as-is, may change without notice, and may be withdrawn at any time.

10. Service Availability

We strive to keep the Service available but do not guarantee any specific uptime level. The Service may experience downtime for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users in advance of planned maintenance. If the Service is materially unavailable for an extended period (more than 72 consecutive hours), paid subscribers may request a pro-rata credit for the affected period by contacting us at [email protected].

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that data, statistics, rankings, or metrics will be accurate, complete, current, or free from omissions.

12. Limitation of Liability

To the fullest extent permitted by law, Exstats and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or use. Our aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the 12 months before the claim arose, or (b) 50 USD.

13. Indemnification

You will defend, indemnify, and hold harmless Exstats and its affiliates from and against any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

14. Suspension and Termination

We may suspend or terminate access immediately for violations of these Terms, risk to the Service, non-payment, or as required by law. Upon termination, your license ends and you must stop using the Service.

After termination or account deletion, we will retain your account data for up to 30 days, during which you may request an export by contacting [email protected]. After this 30-day period, we will delete your data in accordance with our Privacy Policy, except where retention is required by law.

15. Dispute Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting [email protected]. We will try to resolve the dispute within 30 days. If the dispute is not resolved informally, either party may proceed to binding arbitration administered under the rules of the American Arbitration Association (AAA) in Sheridan, Wyoming, or, at your election, in the jurisdiction where you reside. The arbitration will be conducted in English by a single arbitrator. Each party bears its own costs unless the arbitrator decides otherwise. Either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You and Exstats agree that all disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules.

17. Export and Sanctions

You may not use the Service if you are located in or are a resident of a country or region subject to comprehensive sanctions, or if you are on a sanctions or denied-party list.

18. Changes to these Terms

We may modify these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting the updated Terms with a new effective date and, where practicable, by sending a notice to the email address associated with your account. Your continued use after changes take effect constitutes acceptance. If you do not agree with the updated Terms, you may stop using the Service and close your account before the changes take effect.

19. Miscellaneous

• Severability: If any provision is unenforceable, the rest remains in effect.
• Assignment: You may not assign these Terms without our consent. We may assign them.
• Force Majeure: We are not liable for delays or failures due to events beyond our control.
• Entire Agreement: These Terms constitute the entire agreement between you and Exstats regarding the Service and supersede prior agreements.
• Notices: We may provide notices via the Service, email, or by posting.
